Terms of Service

These Terms of Service (“Terms”) govern your use of the Hum website, products, and services that have been made available to you by Solid Space Inc. d/b/a Hum (“Solid Space” or “Hum” or “We”), a Delaware limited liability company and the owner of the Hum products and services and any website, API, or data provided by Hum (collectively, “Hum Services”).

1. By using the Hum Services, you (“User” or “You”) agree to be bound to these Terms without modification. If you do not or cannot agree to be bound to these Terms, you are not authorized to use the Hum Services.

2. We reserve the right to change these Terms at any time in our sole discretion. If we make any changes, we will notify you by posting the changes here. You are responsible for monitoring these Terms for any changes and for reviewing any changes after We make them. Your continued use of the Hum Services after We post changes to the Terms constitutes your acceptance to the modified Terms.

3. You have access to use the Hum Services for educational and informational use, such as to obtain information regarding third party internet service providers. Hum may be compensated by some of the third-party providers for listing the information. Hum does not provide internet service.

4. Hum takes commercially reasonable steps to gather relevant information helpful towards making a purchase of internet services at certain locations. However, because internet providers may change their services, features, and pricing structures at any time, the information in the Hum Services might not always be current. Hum will not be responsible or liable for mistakes or discrepancies in pricing or other information. The information in the contract between You and the third-party service provider controls over any information presented on the Hum Services, and You are responsible for reviewing that information and determining whether it meets your expectations.

5. From time to time, Hum may modify, change, or upgrade the functionality or appearance of the Hum Services without notice, which might include removing functionality or content.

6. Subject to these Terms, Hum grants you a non-transferable, non-assignable, limited, non-exclusive, revocable right to use the Hum Services only as permitted in these Terms.

7. The Hum Services are the property of Hum, and contain information, graphical elements, and data that are protected by copyright, trademark, trade secret, and other intellectual property laws. You agree to abide by all copyright notices and trademark restrictions.

8. You retain all intellectual property rights, including copyrights, over your written and other content uploaded or posted to the Hum Services (“User Content”), such as content posted as customer reviews, or content submitted to forms. You grant Hum and its affiliates and partners a non-exclusive, world-wide, transferable, sub-licensable, royalty-free, perpetual, irrevocable license to access, use, reproduce, electronically distribute, transmit, perform, format, display, store, archive, index, and create derivative works from your User Content in any media now existing or hereinafter devised.

9. You may not and may not allow others to:

Use the Hum Services to transmit false or misleading information, or to defraud any individual or company;
Use the Hum Services to access or view private or personal information you are not expressly authorized to access or view;
Use the Hum Services to violate the laws of any applicable jurisdiction;
Use the Hum Services to abuse, defame, harass, or threaten and third party;
Use the Hum Services to post illegal content, or cause any such content to be posted;
Use the Hum Services to transmit a virus, Trojan horse, worm, hack, or any harmful content;
Use the Hum Services to post content that infringes upon the right or intellectual property interests of any person or property;
Reverse engineer, decompile, disassemble, or otherwise derive the source code from the Hum Services;
Alter, adapt, modify, reconfigure, or prepare derivative works of the Hum Services;
Scrape, copy, extract, summarize, distribute, or otherwise use the Hum Services in any manner which competes with the Hum Services; or
Use a VPN, IP address changing software, or any other method to circumvent the Hum Services’ data protection tools.

Hum may ban or restrict users from using the Hum Services, and terminate all rights under these Terms, for violating these restrictions, as determined in Hum’s discretion.

10. TO THE EXTENT ALLOWED BY LAW, HUM DOES NOT MAKE ANY REPRESENTATION OR WARRANTY REGARDING THE HUM SERVICES, INCLUDING, WITHOUT LIMITATION, THE MATERIALS, SOFTWARE, CONTENT, INFORMATION, OR ANY PRODUCTS OR SERVICES PROVIDED THROUGH OR IN CONNECTION WITH THE HUM SERVICES. YOU ACKNOWLEDGE THAT HUM DOES NOT PROVIDE INTERNET SERVICES, LEASING SERVICE, OR PROPERTY SERVICES, AND YOU HEREBY FULLY RELEASE HUM FROM ALL LIABILITY AND RESPONSIBILITY ASSOCIATED WITH THE AVAILABILITY, PERFORMANCE, OR QUALITY OF YOUR INTERNET SERVICES AND YOUR DWELLING. YOUR RIGHTS WITH RESPECT TO YOUR INTERNET SERVICES AND DWELLING ARE FOUND IN YOUR AGREEMENT WITH YOUR INTERNET SERVICE PROVIDER AND YOUR LEASE OR OTHER AGREEMENT WITH YOUR LANDLORD, AND HUM IS NOT A PARTY TO OR IN ANY WAY RESPONSIBLE FOR THOSE THIRD-PARTY AGREEMENTS.

11. THE HUM SERVICES ARE LICENSED TO YOU “AS-IS” AND “AS-AVAILABLE,” WITHOUT ANY WARRANTY OF ANY NATURE, EXPRESS OR IMPLIED, AND HUM EXPRESSLY DISCLAIMS ANY AND ALL WARRANTIES INCLUDING, WITHOUT LIMITATION: (A) ANY WARRANTIES AS TO THE AVAILABILITY, ACCURACY, OR COMPLETENESS OF THE MATERIALS, SOFTWARE, CONTENT, INFORMATION, PRODUCTS, OR SERVICES WHICH ARE PART OF, AVAILABLE THROUGH, OR DISCLOSED BY THE HUM SERVICES; (B) WARRANTIES OF FITNESS FOR A PARTICULAR PURPOSE, MERCHANTABILITY, OR NON-INFRINGEMENT, AND (C) ANY WARRANTY THAT THE HUM SERVICES WILL ALWAYS BE AVAILABLE, ERROR-FREE, ACCESSIBLE, TIMELY, OR SECURE.

12. IN NO EVENT WILL HUM, ITS SUBSIDIARIES, AFFILIATES, LICENSORS, EMPLOYEES, AGENTS, CONTRACTORS, BUSINESS PARTNERS BE LIABLE TO USER FOR ANY DAMAGES OR LOSSES, INCLUDING WITHOUT LIMITATION INDIRECT, CONSEQUENTIAL, SPECIAL, INCIDENTAL OR PUNITIVE DAMAGES RESULTING FROM, ASSOCIATED WITH, OR CAUSED BY THE HUM SERVICES, MATERIALS, SOFTWARE, CONTENT, INFORMATION, OR ANY ERRORS OR OMISSIONS IN THE HUM SERVICES, EVEN IF HUM IS ADVISED OF OR BECOMES AWARE OF THE POSSIBILITY OF SUCH DAMAGES.

13. ANY LIABILITY OF HUM, ITS SUBSIDIARIES, AFFILIATES, LICENSORS, EMPLOYEES, AGENTS, CONTRACTORS, OR BUSINESS PARTNERS, INCLUDING WITHOUT LIMITATION ANY LIABILITY FOR DAMAGES CAUSED BY ANY FAILURE OF PERFORMANCE, ERROR, OMISSION, INTERRUPTION, DELETION, DEFECT, DELAY IN OPERATION OR TRANSMISSION, COMPUTER VIRUS, HACKING, TAMPERING, UNAUTHORIZED USE, COMMUNICATIONS LINE FAILURE, THEFT, OR DESTRUCTION OR UNAUTHORIZED ACCESS TO OR ALTERATION OF THE HUM SERVICES, OR USE OF RECORDS, WHETHER FOR BREACH OF CONTRACT, TORTIOUS BEHAVIOR, NEGLIGENCE, OR UNDER ANY OTHER CAUSE OF ACTION, CLAIMS OR DAMAGES, INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF BUSINESS, BUSINESS PROFITS, BUSINESS INTERRUPTION, BUSINESS INFORMATION, DATA LOSS OR CORRUPTION, OR ANY OTHER MONETARY LOSS ARISING OUT OF OR RELATING TO THE USE OF OR THE INABILITY TO USE THE HUM SERVICES, SHALL BE STRICTLY LIMITED TO THE AMOUNT PAID TO HUM BY OR ON BEHALF OF YOU IN CONNECTION WITH THE HUM SERVICES IN THE THREE (3) MONTHS PRIOR TO THE CLAIMED INJURY OR DAMAGE, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS MORE. YOU AGREE THAT QUANTIFYING DAMAGES WOULD BE INHERENTLY DIFFICULT, AND STIPULATE THAT THE AGREED UPON SUM IS A REASONABLE MEASURE OF DAMAGES. IF YOU ARE A RESIDENT OF OR LOCATED IN CALIFORNIA, YOU WAIVE SECTION 1542 OF THE CALIFORNIA CIVIL CODE, WHICH STATES THAT GENERAL RELEASES DO NOT EXTEND TO CLAIMS THAT YOU DO NOT KNOW OR SUSPECT TO EXIST IN YOUR FAVOR AT THE TIME OF EXECUTING THE RELEASE, WHICH IF KNOWN BY YOU, MUST HAVE MATERIALLY AFFECTED YOUR SETTLEMENT WITH THE DEBTOR.

HUM DOES NOT REPRESENT OR ENDORSE THE ACCURACY, CURRENTNESS, OR RELIABILITY OF ANY DATA, ADVICE, OPINION, STATEMENT OR OTHER INFORMATION DISPLAYED, UPLOADED, OR DISTRIBUTED THROUGH THE HUM SERVICES INCLUDING, WITHOUT LIMITATION, THE MATERIALS, SOFTWARE, CONTENT, OR INFORMATION. YOU ACKNOWLEDGE THAT ANY RELIANCE UPON ANY SUCH DATA, OPINION, ADVICE, STATEMENT, OR INFORMATION SHALL BE AT YOUR SOLE RISK.

15. SOME JURISDICTIONS DO NOT ALLOW FOR SOME OF THE LIMITATIONS OR EXCLUSIONS AS SET FORTH IN THESE TERMS. YOU MIGHT HAVE OTHER RIGHTS WHICH VARY FROM JURISDICTION TO JURISDICTION.

16. You represent and warrant that you will not use the Hum Services in any way that violates the rights of a third party or in violation of any laws or regulations of any applicable jurisdictions. You agree to indemnify Hum, its affiliates, directors, officers, employees, agents, contractors, and business partners against all claims and damages arising out of Your use of the Hum Services or Your breach or alleged breach of any representations, warranties, or agreements under these Terms.

17. This website complies with the terms of the Digital Millennium Copyright Act. To report a claim of copyright infringement, please send a claim to our official agent at legal@LetsHum.com or Hum Legal Department, 220 S Main St, Royal Oak, Michigan 48067, containing all the following information:

Your contact information (name, mailing address, phone number).
A description of the copyrighted work that you believe was infringed.
A description of the content on this website that you believe is infringing your copyright. If possible, please include a web address/link.
A declaration that you have a good faith belief that the use of the copyrighted materials described was not authorized by the copyright owner, agent, or the law; that the information in your notice is accurate, and that you declare, under penalty of perjury, that you are the owner or the allegedly infringed copyright or you are authorized to act on behalf of the copyright owner.
Your digital or physical signature.

18. Choice of Law and Forum. These Terms shall be governed by, and construed in accordance with, the laws of the State of Michigan. All claims arising out of or relating to these Terms or your use of the Hum Services will be litigated exclusively in the state and federal courts located in Wayne County, Michigan, and you and Hum consent to personal jurisdiction in Michigan, USA.

19. Waiver. The failure of either party to exercise in any respect any right provided for herein shall not be deemed a waiver of any right hereunder.

20. Section Headings. The section headings of these Terms are for convenience of reference only and shall not be deemed to alter or affect any provision hereof.

21. Severability. If any provision of these Terms is held to be invalid, illegal, or unenforceable, the validity, legality, or enforceability of the remainder of these Terms shall not in any way be affected or impaired.

22. Notices. You agree that Hum may provide notice to you under these Terms by placing a banner across the web pages of this website. You may provide legal notice to Hum by First Class Mail, return receipt requested, addressed to Hum Legal Department, 220 S Main St, Royal Oak, Michigan 48067.

23. The Hum Services may link to other websites. Links are not an endorsement of the products or services available at the other websites. Hum has no responsibility or control of content on the linked websites.

24. This website and the Hum Services are not providing financial, legal, business, technical, or other professional advice. You should seek advice from a professional if you have questions about or do not understand these Terms.

25. Entire Agreement. These Terms constitute the entire agreement between the parties and supersede all prior or contemporaneous written or oral agreements between them or any of their affiliates, with respect to the subject matter contained herein. These Terms may not be modified or altered except by written instrument executed by a corporate officer of Hum.
